Talkroute Inc – Referral Program

These Terms and Conditions (“Terms”) govern participation in the Talkroute Referral Program (“Referral Program”). By participating, you agree to these Terms.

1. DEFINITIONS

1.1 “Paying Customer” means a Referred Customer who has purchased a Talkroute subscription and, after at least twenty‑eight (28) consecutive days, continues to have an active Talkroute subscription.

1.2 “Referred Customer” means a new customer who, in Talkroute’s sole judgment, meets all the following conditions:

  • The customer must click the Referrer’s Referral Link and create a Talkroute account.
  • The customer cannot be an existing or former Talkroute customer.
  • The customer cannot have previously enrolled in a Talkroute free trial.
  • The customer must not have been previously referred by you or another party.
  • The customer must purchase a Talkroute subscription within thirty (30) days of first clicking the Referral Link.
  • The referral cannot be a “self‑referral,” defined as referrals from your own business, affiliates, or your employer.

1.3 “Referral Link” means the unique link provided by Talkroute for use in referring new potential customers.

1.4 “Talkroute Products and Services” means the services offered by Talkroute, including but not limited to those described at www.talkroute.com.

2. REFERRAL PROGRAM RULES

2.1 No Obligation. Talkroute has no obligation to accept or maintain any customer, including Referred Customers. Talkroute may suspend or terminate sales of its services to any customer at any time for any reason.

2.2 Referral Rewards.

  • Reward Amount. For each Paying Customer referred, Talkroute will apply a credit equal to one (1) month of the base subscription rate of the Referrer’s current Talkroute plan.
  • Exclusions. Referral credits apply only to the base monthly subscription price. Add‑ons (e.g., phone numbers, voicemail boxes, or special services) are excluded.
  • Application of Credit. Credits are applied to the Referrer’s next billing cycle once the Referred Customer has maintained a paid subscription for at least twenty‑eight (28) days.

2.3 Billing. Talkroute will handle billing of customers and collection of payments. Referrers will not receive any customer billing or account details.

3. REPRESENTATIONS & WARRANTIES

By participating, you represent and warrant that:

  • You have the authority to enter into these Terms.
  • Participation does not conflict with any other agreement you are bound by.
  • These Terms are a valid and binding agreement enforceable against you.

4. INDEMNIFICATION

You agree to indemnify and hold harmless Talkroute and its officers, directors, and employees against all claims, liabilities, costs, and expenses (including legal fees) arising out of:

  • Your violation of laws or regulations in connection with the Referral Program.
  • Any third‑party claim related to Talkroute’s use of your referral activities.
  • Misclassification of your role as an independent contractor.

5. DISCLAIMER OF WARRANTIES

Talkroute makes no warranties regarding its products or services, express or implied, including merchantability or fitness for a particular purpose.

6. LIMITATION OF LIABILITY

Neither party shall be liable for special, incidental, or consequential damages. Except for indemnification obligations, total liability under these Terms will not exceed the total referral credits paid in the twelve (12) months preceding the claim.

7. TERM & TERMINATION

  • 7.1 Term. These Terms are effective as of the Effective Date and remain in effect while you participate in the Referral Program.
  • 7.2 Termination. Talkroute may terminate the program at any time, with or without cause. Credits already earned but not yet applied will still be honored if the Referred Customer meets the requirements.

8. FTC COMPLIANCE

If you promote Talkroute on social media, you must comply with FTC Endorsement Guidelines and disclose your relationship using clear hashtags such as #Sponsored or #TRReferralProgram.

9. DISPUTE RESOLUTION

  • 9.1 Arbitration. Any dispute will be resolved by binding arbitration in Las Vegas, Nevada, under American Arbitration Association rules. Judgment may be entered in any court of jurisdiction.
  • 9.2 Fees. The prevailing party in arbitration or litigation shall recover reasonable attorneys’ fees and costs.
  • 9.3 Jury Trial Waiver. Both parties waive the right to a jury trial.
  • 9.4 Equitable Relief. Either party may seek injunctive relief in court without waiving arbitration.

10. MISCELLANEOUS

  • 10.1 Assignment. You may not assign these Terms without Talkroute’s written consent.
  • 10.2 Waiver. Any waiver by Talkroute must be in writing
  • 10.3 Severability. If a provision is unenforceable, the remaining Terms remain in effect.
  • 10.4 Governing Law. Nevada law governs these Terms, without regard to conflict‑of‑law rules.
  • 10.5 Notices. Notices to Talkroute must be sent to: 300 S. 4th Street, Suite 613, Las Vegas, NV 89101. Notices to Referrer may be sent by email.
  • 10.6 Independent Contractors. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship.
  • 10.7 Entire Agreement. These Terms represent the entire agreement and supersede prior discussions. Amendments must be in writing and signed by both parties.
